A private limited company is the most popular way of registering a business in INDIA. On average the Ministry of corporate affairs (MCA) registers 15,000 companies in a month. A private limited company is governed by companies ACT (2013) and is regulated by the Ministry of Corporate Affairs (MCA) who through the powers vested with the Registrar of companies (ROC) looks over their running.

Eligibility for private limited company

  • Unique name.

  • A minimum of two members and a maximum of two hundred members are required to incorporate a private limited company.

  • A minimum of two directors and a maximum of fifteen directors are required to incorporate a private limited company.

  • The registered office address is required to incorporate a private limited company.

  • There is no minimum capital requirement.

What are the documents required for private limited company registration?

INDIAN Nationals​

  • Aadhar card is a necessary document needed for creating a digital signature of proposed directors.

  • PAN card of directors is mandatorily required for incorporation of the company, details in PAN card should be correct, there should be no mismatch in name of Aadhaar card and PAN card. if there is such an error it would be advisable to first apply for rectification in PAN details or Aadhaar card.

    Identity proof 
    The address proof that has to be submitted should contain the exact name as mentioned in the PAN card. Following documents are accepted as address proof. Any one of the documents required:

     

  • Election card or voter id card.

  • Ration card.

  • Passport.

  • Driving license.

    Residential proof 
    Along with identity proof, a residential proof of the current address of the directors needs to be submitted. Following documents are acceptable as residential proof. Same should not be older than 2 months. Any one of the documents required.

     

  • Bank statement containing recent transactions along with a clear display of the applicant's name and address.

  • Electricity bill.

  • Telephone bill.

FOREIGN Nationals documents required for private company registration
 

  • Passport

  • A Passport is a mandatory document required in the case of foreigners. It should be apostilled or notarized in the country it was issued. If a passport is in a foreign language other than English it should be converted to English by an official translator and it will be apostilled or notarized. It must contain the date of birth of the applicant else a separate document stating the date of birth will be required in the notarized or apostilled form.

  • Identity proof

  • Identity proof acceptable should not be more than 1 year old and should have the latest address of the foreign director. Following is a list of acceptable documents.

  • Driving license.

  • Residence card.

  • Bank statement.

  • A government-issued form of identity card.

  • Residence proof should not be older than 1 year. Residence proof can be given from the following list

What Is The Procedure To Register A Private Limited Company?

  1. Here are the steps involved in registering a private limited company -

  2. Obtain a DSC of proposed directors.

  3. Obtain the DIN of proposed directors.

  4. Application for name approval must be filed with MCA for reserving the name of a private company. The name of the private company must end with "Private Limited Company"

  5. After getting name approval for the company we need to prepare documents like MOA and AOA in the prescribed format by MCA and file the same. Application for company formation is prepared in 'SPICE+' form, Spice form consists of two parts namely -
    Part A-Name reservation for new companies.
    Part B-Offering a bouquet of services such as 

  6. Incorporation.

  7. DIN allotment.

  8. Mandatory issue of PAN.

  9. Mandatory issue of TAN.

  10. Mandatory issue if EPFO registration.

  11. Mandatory issue of ESIC registration.

  12. Mandatory issue of professional tax registration

  13. Mandatory opening of current bank account of the company.

  14. For the Incorporation of the company, the user may either choose to submit Part-A for reserving a name first and thereafter submit Part B for incorporation & other services or file Part A and B together at one go for incorporating a new company and availing the bouquet of services as above.

  15. If the MCA is satisfied with the documents, it will grant a certificate of incorporation to the company within 7 days
