What Is Section 8 NGO?

“A section 8 NGO is a body corporate just like a private limited company but unlike a private limited company, it does not work for profit motive.”


Section 8 company is formed for a particular set of objectives which can be the promotion of sports, education, research, social welfare, protection of the environment etc. Section 8 company is formed under the ministry of corporate affairs (MCA) which is a central government body. Section 8 company may be incorporated as a company limited by shares or by Guarantee (with or without share capital). Company limited by guarantee means that there will be no share capital but each shareholder will contribute a nominal amount in case the company is wound up or closed.

In INDIA NGOs can be registered under the following heads –

  • Societies registered under section 20 of the Societies Registration Act 1860.

  • Trusts formed under the Indian Trusts Act 1882.

  • Section 8 company under companies act 2013.

Who Can Form A Section 8 NGO in India?

  • Any two individuals or an individual and a partnership firm or any such combination can form section 8 company.
    The objective of such section 8 company should be for the promotion of commerce, art, science, sports, education, research, social welfare, religion, charity, protection of environment or any such other object”, provided it “intends to apply its profits, if any, or other income in promoting its objects” and “intends to prohibit the payment of any dividend to its members.

    The text of the Section 8 provision in the 2013 Companies Act reads:

    COMPANIES ACT, 2013, Section 8 Formation of companies with charitable objects, etc.:

    Where it is proved to the satisfaction of the Central Government that a person or an association of persons proposed to be registered under this Act as a limited company:

  • has in its objects the promotion of commerce, art, science, sports, education, research, social welfare, religion, charity, protection of environment or any such other object

  • intends to apply its profits, if any, or other income in promoting its objects; and

  • intends to prohibit the payment of any dividend to its members, the Central Government may, issue license in such manner, and on such conditions as it deems fit, allow that person or association of persons to register as a limited company under this section without the addition to its name of the word "Limited", or as the case may be, the words "Private Limited", and thereupon the Registrar shall, on the application, in the prescribed form, register such person or association of persons as a company under this section.

  • The company registered under this section shall enjoy all the privileges and be subject to all the obligations of limited companies.

What Are The Documents Required For Section 8 NGO Registration?

INDIAN Nationals​

  • Aadhar card is a necessary document needed for creating a digital signature of proposed directors.

  • PAN card of directors is mandatorily required for incorporation of the company, details in PAN card should be correct, there should be no mismatch in name of Aadhaar card and PAN card. if there is such an error it would be advisable to first apply for rectification in PAN details or Aadhaar card.

    Identity proof 
    The address proof that has to be submitted should contain the exact name as mentioned in the PAN card. Following documents are accepted as address proof. Any one of the documents required:

     

  • Election card or voter id card.

  • Ration card.

  • Passport.

  • Driving license.

    Residential proof 
    Along with identity proof, a residential proof of the current address of the directors needs to be submitted. Following documents are acceptable as residential proof. Same should not be older than 2 months. Any one of the documents required.

     

  • Bank statement containing recent transactions along with a clear display of the applicant's name and address.

  • Electricity bill.

  • Telephone bill.

  • Mobile bill.

FOREIGN Nationals documents required for NGO registration

  • Passport

  • A Passport is a mandatory document required in the case of foreigners. It should be apostilled or notarized in the country it was issued. If a passport is in a foreign language other than English it should be converted to English by an official translator and it will be apostilled or notarized. It must contain the date of birth of the applicant else a separate document stating the date of birth will be required in the notarized or apostilled form.

  • Identity proof

  • Identity proof acceptable should not be more than 1 year old and should have the latest address of the foreign director. Following is a list of acceptable documents.

  • Driving license.

  • Residence card.

  • Bank statement.

  • A government-issued form of identity card.

What Is The Procedure Of Incorporation Of Section 8 NGO Online?

  1. Steps involved in registering a section 8 company is similar to incorporating a private limited company. Here are the steps involved in registering a section 8 company –

  3. Obtain DIN of proposed directors.
